6. Your Data & Client Data
You retain ownership of all data you input into the Platform, including your clients' personal and financial information ("Client Data").
You represent and warrant that you have obtained all necessary consents from your clients to store and process their data using BharatDrive, and that doing so complies with all applicable laws.
We act as a data processor on your behalf for Client Data. Our handling of that data is governed by our Privacy Policy.
7. Intellectual Property
All intellectual property rights in the Platform — including software, design, trademarks, logos, and content created by BharatDrive — are owned by or licensed to us. Nothing in these Terms grants you any right to use our trademarks or branding without prior written consent.
We grant you a limited, non-exclusive, non-transferable, revocable licence to use the Platform solely for your internal business purposes in accordance with these Terms.
8. Availability & Modifications
We aim to maintain 99% uptime but do not guarantee uninterrupted access. The Platform may be temporarily unavailable due to maintenance, upgrades, or circumstances beyond our control.
We reserve the right to modify, suspend, or discontinue any feature or module at any time, with reasonable notice where practicable. For paid modules, we will provide at least 30 days' notice before discontinuing, and will offer a pro-rata refund for any unused paid period.
9. Disclaimer of Warranties
The Platform is provided "as is" and "as available" without any warranty of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.
BharatDrive is a tool to assist professionals — it does not constitute legal, financial, or tax advice. You remain solely responsible for the accuracy of data you enter and the professional judgement applied to any output generated by the Platform.
10. Limitation of Liability
To the maximum extent permitted by applicable law, BharatDrive, its directors, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or in connection with your use of or inability to use the Platform.
Our total aggregate liability for any claim shall not exceed the amount you paid us in the 3 months immediately preceding the event giving rise to the claim.
11. Indemnification
You agree to indemnify and hold harmless BharatDrive, its affiliates, officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses arising out of or relating to:
- Your use of the Platform in violation of these Terms.
- Your violation of any applicable law or the rights of a third party.
- Any Client Data you upload, including any claim by a client that their data was handled unlawfully.
12. Meta WhatsApp Business Platform — Terms of Service
BharatDrive includes WhatsApp messaging and calling features ("WhatsApp Features") built on the WhatsApp Business Platform (Cloud API) provided by Meta Platforms, Inc. and WhatsApp LLC ("Meta"). Calcutta Technologies Private Limited provides these features as a Meta Tech Provider. By connecting a WhatsApp Business Account or sending messages through BharatDrive, you agree to this section in addition to the rest of these Terms.
12.1 Meta's terms apply
Your use of the WhatsApp Features is also governed by Meta's terms and policies, including the WhatsApp Business Terms of Service, the WhatsApp Business Messaging Policy, the WhatsApp Business Solution Terms and the Meta Commerce Policy (where applicable). If these Terms conflict with Meta's terms on how WhatsApp may be used, Meta's terms prevail. You must accept Meta's terms when you connect your account through Meta's Embedded Signup.
12.2 Your WhatsApp Business Account
You may connect your own WhatsApp Business Account and phone number through Meta's Embedded Signup, or use BharatDrive's shared business number where offered. You authorise BharatDrive to manage your WhatsApp Business Account on your behalf — including registering phone numbers, managing message templates and your business profile, sending and receiving messages and calls, and subscribing to webhooks. You remain the owner of your WhatsApp Business Account and phone number and can remove BharatDrive's access at any time from Meta Business Settings.
12.3 Opt-in and permitted messaging
You may message only people who have given you their phone number and agreed to receive WhatsApp messages from your business, and you must keep a record of that opt-in. A new conversation can be started only with a message template approved by Meta; free-form messages may be sent only within the 24-hour customer service window after the person last messaged you. You must honour opt-out requests promptly.
12.4 Prohibited use
You must not use the WhatsApp Features to send spam, bulk unsolicited or misleading messages; content that is illegal, fraudulent, abusive, hateful or sexually explicit; messages that ask people for full card numbers, bank passwords, OTPs or similar sensitive credentials; or goods and services prohibited by the WhatsApp Business Messaging Policy and Meta Commerce Policy. You must not impersonate another business or person, or try to get around Meta's messaging limits, quality ratings or template review.
12.5 Templates, quality and enforcement
Message templates are reviewed and approved or rejected by Meta, not by BharatDrive. Meta may restrict, pause or ban a phone number or WhatsApp Business Account based on quality rating, user feedback or policy breaches. We are not responsible for Meta's decisions, and we may suspend your WhatsApp Features without notice if your use breaches Meta's policies or puts our Tech Provider status at risk.
12.6 Calls
Where WhatsApp Business calling is enabled, you may call a person only after they have given calling permission as required by Meta. If you record calls, you are responsible for informing the other party and obtaining any consent required by law.
12.7 Charges
Meta charges for WhatsApp messages by category (marketing, utility, authentication and service) and by the recipient's country. Charges for WhatsApp usage are shown on the Pricing page in BharatDrive and are billed to you under your subscription. Rates may change when Meta changes its pricing.
12.8 Your data and your clients' data
You are responsible for the content you send and for having a lawful basis to contact your clients. We handle WhatsApp data as described in the Meta WhatsApp Business Platform section of our Privacy Policy.
12.9 Availability
The WhatsApp Features depend on Meta's services. We do not guarantee delivery of any message or call, and we are not liable for outages, delays, changes to or withdrawal of the WhatsApp Business Platform by Meta.
12.10 Ending WhatsApp access
You can disconnect WhatsApp at any time by emailing support@calcuttatech.com or by removing BharatDrive from your Meta Business Settings. When access ends, we stop sending on your behalf and delete your WhatsApp data as described in our Privacy Policy.
Questions about the WhatsApp Features or these terms: email support@calcuttatech.com.
Meta's terms: WhatsApp Business Terms of Service, WhatsApp Business Messaging Policy, WhatsApp Business Solution Terms and Meta Commerce Policy. See also our Meta WhatsApp privacy section.
13. Termination
You may close your account at any time by contacting us at support@calcuttatech.com. Upon closure, your access will be revoked and your data handled per our Privacy Policy.
We reserve the right to suspend or terminate your account without notice if you breach these Terms, if required by law, or if we reasonably believe your account poses a security risk.
Sections 7, 9, 10, 11, and 13 survive termination.
14. Governing Law & Disputes
These Terms are governed by the laws of India. Any dispute arising from or relating to these Terms or the Platform shall be subject to the exclusive jurisdiction of the courts of Kolkata, West Bengal, India.
Before initiating any formal legal proceedings, the parties agree to attempt to resolve the dispute amicably through good-faith negotiations for a period of at least 30 days.
15. Changes to These Terms
We may update these Terms from time to time. When we make material changes, we will update the "Last updated" date and notify you by email or in-app notice at least 14 days before the new terms take effect. Continued use of the Platform after that date constitutes acceptance of the revised Terms.
